Terms of Use

Terms and conditions agreed to that bind businesses and Loggworks

1. Introduction

Welcome to Loggworks, a platform that offers comprehensive tools for service professionals to manage their businesses efficiently. These Terms of Service ("Terms") govern your use of the Loggworks platform, including our website, mobile applications, and all associated services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, and any additional terms applicable to specific features or services. If you do not agree with these Terms, you must not use the Service.

These Terms may be updated from time to time, and we will notify you of any material changes by posting the new Terms on theLoggworks website or through other means. Your continued use of the Service following the posting of any changes constitutes your acceptance of those changes.

2. Definitions

"Account" means the account created by a Customer to access and use the Service.
"App" refers to the Loggworks mobile application available on the Apple Store and Google Play Store.
"Client" refers to any User who uses the Service to engage with a Service Provider for professional services.
"Confidential Information" means any non-public information disclosed by one party to the other, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.
"Content" includes any information, data, text, software, graphics, videos, or other materials that you upload, post, email, transmit, or otherwise make available via the Service.
"Customer" or "you" refers to any individual or entity that registers to access and use the Service.
"Fees" means any charges for the use of the Service, as outlined on the Loggworks website or otherwise agreed upon in writing.
"Loggworks," "we," "us," or "our" refers to the entity that owns and operates the Loggworks platform.
"Service" refers to the various tools and functionalities provided by Loggworks to manage business operations, including employee management, invoicing, quoting, and more.
"Businesses" refers to any User who use Loggworks platform to offer and manage professional services.
"User" means any individual or entity using the Service, including Customers, Service Providers, and Clients.
"User Materials" refers to all content, data, documents, and other information that you or your Users input into the Service or otherwise make available through the Service.

3. Service

Loggworks provides a platform that offers a suite of tools for service professionals, including but not limited to employee management, business profile management, quoting and invoicing, and client communication. Subject to these Terms, Loggworks grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your internal business purposes.

You acknowledge that the Service is provided "as is" and that Loggworks does not guarantee uninterrupted or error-free operation of the Service. Loggworks reserves the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

4. User Accounts

4.1 Account Creation

To access certain features of the Service, you must create an Account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for safeguarding your Account login information and for any activities or actions under your Account. You must immediately notify Loggworks of any unauthorized use of your Account. Loggworks will not be liable for any loss or damage arising from your failure to comply with these requirements.

4.3 User Roles

You may designate different roles for Users under your Account. You are responsible for all actions taken by Users with such roles, and you agree to ensure that all Users comply with these Terms.

4.4 Termination of Accounts

Loggworks reserves the right to suspend or terminate your Account and your access to the Service if you violate these Terms, engage in fraudulent or illegal activities, or for any other reason at our sole discretion.

5. Services Provided

Loggworks offers various tools to enhance business operations for service professionals. These include but are not limited to:

5.1 Employee Management

Tools to track employee performance, manage schedules, and assign tasks.

5.2 Business Profile Management

Features to create and manage a professional profile, showcase services, and build credibility.

5.3 Quoting and Invoicing

Tools to generate quotes, create invoices, and manage payments efficiently.

5.4 Client Management

Systems to track client interactions, manage appointments, and maintain client relationships.

5.5 QCommunication Channels

Messaging tools for real-time communication between service providers, employees, and clients.

5.6 Financial Management

A Wallet feature that enables secure payment processing, fund management, and transaction tracking.

5.7 Review System

A mechanism for clients to leave feedback on services provided, helping to build trust and transparency.

5.3 Quoting and Invoicing

Tools to generate quotes, create invoices, and manage payments efficiently.

Loggworks may introduce additional services or features from time to time, which will be governed by these Terms and any additional terms provided at the time of introduction.

6. Fees and Payment

6.1 Fees

You agree to pay all applicable Fees for the use of the Service as set forth on the Loggworks website or as otherwise agreed upon in writing. Fees may be charged on a subscription basis, per transaction, or any other basis specified byLoggworks.

6.2 Payment Terms

Payment is due in advance of the applicable service period or at the time of the transaction. You must provide a valid payment method (such as a credit card) to process payments for the Fees. By providing payment information, you authorize Loggworks to charge your payment method for the Fees.

6.3 Late Payments

If payment is not received by the due date, Loggworks reserves the right to suspend or terminate your access to the Service until payment is made. Late payments may also incur interest charges at the maximum rate permitted by law.

6.4 Changes to Fees

Loggworks reserves the right to change its Fees at any time, with reasonable notice provided to you. Continued use of the Service after the Fee change constitutes your agreement to the new Fees.

6.5 Refund Policy

Fees are non-refundable except as required by law or as otherwise agreed upon in writing by Loggworks.

7. User Responsibilities

7.1 Compliance with Laws

You agree to use the Service in compliance with all applicable laws, regulations, and industry standards. You are solely responsible for ensuring that your use of the Service is lawful and that you have obtained all necessary licenses, permissions, and consents.

7.2 Prohibited Activities

You agree not to engage in any of the following activities:
- Using the Service for any unlawful purpose or in violation of any applicable law.
- Uploading or transmitting any harmful or malicious code, including viruses, worms, or spyware.
- Interfering with or disrupting the Service or the servers or networks connected to the Service.
- Attempting to gain unauthorized access to the Service, other user accounts, or computer systems or networks connected to the Service.
- Misrepresenting your identity or affiliation with any person or entity.
- Collecting or harvesting any personally identifiable information, including account names, from the Service.
- Engaging in any activity that could harm Loggworks' reputation or that of other users.

7.3 Data Security

You are responsible for maintaining the security of your Account, including safeguarding your login credentials. You agree to immediately notify Loggworks of any unauthorized use of your Account or any other security breach.

8. Confidentiality

8.1 Confidential Information

Both parties agree to protect the confidentiality of each other’s Confidential Information using the same degree of care that they use to protect their own confidential information, but in no event less than reasonable care.

8.2 Non-Disclosure

Neither party will disclose the other party’s Confidential Information to any third party except to employees, contractors, or agents who need to know the information to perform their obligations under this Agreement and who are bound by confidentiality obligations.

8.3 Exceptions

Confidential Information does not include information that: (a) is or becomes publicly known through no breach of this Agreement; (b) was known by the receiving party before its disclosure by the disclosing party; (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information; or (d) is lawfully received from a third party without restriction on disclosure.

8.4 Return of Confidential Information

Upon termination of this Agreement, each party will return or destroy all Confidential Information of the other party in its possession, except for information required to be retained by law.

9. Intellectual Property

9.1 Ownership

All intellectual property rights in and to the Service, including any software, content, and documentation, are and shall remain the exclusive property of Loggworks' and its licensors. Nothing in these Terms grants you any rights to use any trademarks, logos, or other intellectual property of Loggworks' without our prior written consent.

9.2 License to Use the Service

Subject to these Terms, Loggworks' grants you a limited, non-exclusive, non-transferable, and revocable license to use the Service solely for your internal business purposes. This license does not grant you any rights to modify, reproduce, distribute, or create derivative works of the Service.

9.3 User Materials

You retain all rights to any User Materials you upload, submit, or otherwise make available through the Service. By providing User Materials, you grant Loggworks' a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, and display such User Materials for the purpose of providing and improving the Service.

9.4 Feedback

If you provide Loggworks' with any suggestions, ideas, or feedback regarding the Service ("Feedback"), you agree that Loggworks' may use, disclose, and exploit such Feedback without restriction or compensation to you.

10. Term and Termination

10.1 Term

These Terms shall remain in effect until terminated by either party in accordance with this section.

10.2 Termination by You

You may terminate your Account at any time by providing written notice to Loggworks. Upon termination, your right to access and use the Service will immediately cease.

10.3 Termination by Loggworks

Loggworks may terminate your Account and these Terms at any time with or without cause, upon written notice to you. Loggworks may also suspend or terminate your Account immediately if you violate these Terms, engage in fraudulent or illegal activities, or if your continued use of the Service may expose Loggworks to legal liability.

10.4 Effect of Termination

Upon termination of your Account, you will lose access to all User Materials and any data associated with your Account. Loggworks reserves the right to delete your Account and User Materials from the Service, although Loggworks may retain certain information as required by law or as necessary for its legitimate business purposes.

10.5 Survival

The provisions of these Terms that by their nature should survive termination (such as payment obligations, confidentiality, and intellectual property rights) will remain in effect after termination.

11. Loggworks Pay

Loggworks Pay is the integrated payment processing feature within the Loggworks platform that allows Businesses to accept payments directly from Clients for services rendered.

11.1 Payment Processing

Loggworks Pay enables seamless transactions between Clients and Service Providers by offering a secure and convenient method for payment. Payments can be made via credit or debit cards, bank transfers, or other payment methods supported by Loggworks Pay.

11.2 Payment Timing

Payments processed through Loggworks Pay will be disbursed to Service Providers based on the processing timelines provided by Stripe, our third-party payment processor. These timelines may vary depending on the payment method used and other factors.

11.3 Fees

Loggworks may charge transaction fees for payments processed through Loggworks Pay. The applicable fees will be clearly outlined during the payment process, and by using Loggworks Pay, you agree to these fees. Fees may vary based on factors such as transaction volume, payment methods used, and geographic location.

11.4 Chargebacks and Disputes

In the event of a chargeback or payment dispute, the Service Provider is responsible for resolving the issue directly with the Client. Loggworks may assist in mediating the dispute but is not liable for any losses resulting from chargebacks or payment disputes. Service Providers are also responsible for any chargeback fees imposed by Stripe or other financial institutions.

12. Use of Stripe for Payment Collection

Loggworks uses Stripe, a third-party payment processor, to handle payment transactions securely and efficiently.

12.1 Stripe Integration

By using Loggworks Pay, you agree to be bound by Stripe's Terms of Service, which are available on the Stripe website. Stripe is responsible for the secure handling of your payment information, and Loggworks does not store or have access to your complete payment details.

12.2 Payment Information

When making a payment through Loggworks Pay, you will be required to provide certain payment information, such as your credit or debit card number, billing address, and contact information. This information is transmitted directly to Stripe via secure channels, and Stripe's processing of this information is subject to its own privacy policy.

12.3 Authorization

By using Loggworks Pay, you authorize Stripe to charge your payment method for the amounts due for services provided by Service Providers, including any applicable fees and taxes. You also authorize Stripe to debit or credit your payment method in connection with any chargebacks or refunds.

12.4 Security

Stripe implements industry-standard security measures to protect your payment information. However, no transmission of data over the internet or electronic storage is completely secure, and Loggworks cannot guarantee absolute security. You agree to notify Loggworks immediately if you suspect any unauthorized access or use of your payment information.

13. Free Trial

Loggworks may offer a Free Trial of the Service to new users for a limited period.

13.1 Eligibility

The Free Trial is available to new Customers who have not previously registered for or used the Service. Loggworks reserves the right to determine eligibility for the Free Trial at its sole discretion.

13.2 Duration

The duration of the Free Trial will be specified during the sign-up process. At the end of the Free Trial period, you will be required to choose a subscription plan and provide a valid payment method to continue using the Service. If you do not select a subscription plan, your access to the Service may be suspended or terminated.

13.3 Limitations

The Free Trial may have limitations on the features or functionalities available to you compared to paid subscriptions. These limitations will be specified at the time of sign-up.

13.4 Automatic Conversion

Unless you cancel your subscription before the end of the Free Trial period, your Free Trial will automatically convert to a paid subscription, and you will be charged the applicable subscription fee. You will receive notification before the conversion, and you can cancel at any time before the end of the Free Trial to avoid charges.

13.5 Cancellation

You may cancel your Free Trial at any time through your Account settings. If you cancel during the Free Trial period, you will not be charged, and your access to the Service will terminate at the end of the Free Trial period.

14. Meta Messaging Omni-Channel Integration

Loggworks offers an Omni-Channel Messaging Integration feature that allows you to manage communications with your clients across various Meta-owned messaging platforms, including WhatsApp, Facebook Messenger, and Instagram Direct.

14.1 Integration with Meta Platforms

Loggworks provides the capability to connect your account with various Meta-owned messaging platforms, enabling seamless communication with your clients directly through the Loggworks platform. This integration allows you to send and receive messages, manage customer inquiries, and perform other communication tasks across WhatsApp, Facebook Messenger, and Instagram Direct.

14.2 User Responsibility

By enabling the Omni-Channel Messaging Integration, you agree to comply with the terms of service, privacy policies, and any other applicable agreements of Meta and its associated platforms. You are responsible for obtaining any necessary consents from your clients before engaging with them through these messaging platforms and for ensuring that your use of the platforms complies with all applicable laws and regulations.

14.3 Data Privacy

The messages and communications sent and received through Meta-owned platforms may be subject to data processing by Meta, in accordance with its privacy policies. Loggworks does not have control over, and is not responsible for, the way Meta handles, processes, or stores your data. It is your responsibility to review and understand Meta's data handling practices and ensure that your use of the Omni-Channel Messaging Integration aligns with your own privacy obligations to your clients.

14.4 Use of Messaging Data

Loggworks may collect and use data from your communications through these platforms for the purpose of providing and improving the Service, analyzing usage, and offering personalized features. However, Loggworks will not access the content of your communications without your explicit consent unless required by law or necessary to protect the rights, property, or safety of Loggworks, its users, or the public.

14.5 Third-Party Charges

Your use of the Omni-Channel Messaging Integration may incur charges from third-party providers, such as Meta, depending on your usage and the terms of service of the respective platforms. Loggworks is not responsible for any charges imposed by these third-party providers.

14.6 Service Limitations and Availability

The availability and functionality of the Omni-Channel Messaging Integration depend on the availability of the Meta platforms. Loggworks does not guarantee uninterrupted or error-free access to these services, and the integration may be affected by factors beyond Loggworks' control, such as changes to Meta's API, network issues, or platform outages.

14.7 Termination of Integration

Loggworks reserves the right to modify, suspend, or discontinue the Omni-Channel Messaging Integration at any time, with or without notice. If Loggworks' discontinues the integration, it will not be liable for any loss of data or communication capability as a result.

15. Limitation of Liability

15.1 No Warranty

The Service is provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Loggworks does not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

15.2 Limitation of Liability

To the fullest extent permitted by law, Loggworks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: (a) your use or inability to use the Service; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the Service; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service by any third party; (e) any errors or omissions in any content; or (f) any other matter relating to the Service.

15.3 Cap on Liability

In no event shall Loggworks' total liability to you for all claims arising out of or relating to these Terms or your use of the Service exceed the amount you paid to Loggworks in the twelve (12) months preceding the event giving rise to the claim.

16. Indemnification

You agree to indemnify, defend, and hold harmless Loggworks, its affiliates, and their respective officers, directors, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your violation of any rights of another, including intellectual property rights; or (d) your conduct in connection with the Service.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Loggworks is incorporated, without regard to its conflict of law principles.

17.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration conducted by a neutral arbitrator in accordance with the rules of the arbitration organization selected by Loggworks. The arbitration shall take place in the jurisdiction where Loggworks is located unless otherwise agreed by the parties. The arbitrator's decision shall be final and binding, and judgement on the award rendered by the arbitrator may be entered in any court having jurisdiction.

18. General Provisions

18.1 Entire Agreement

These Terms, together with any additional terms to which you agree when using particular elements of the Service, constitute the entire agreement between you and Loggworks with respect to the Service.

18.2 Amendments

Loggworks reserves the right to modify these Terms at any time. If we make material changes to these Terms, we will provide you with notice of such changes, and your continued use of the Service after such notice constitutes your acceptance of the modified Terms.

18.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18.4 Waive

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Loggworks' failure to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.

18.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Loggworks. Loggworks may assign or transfer its rights and obligations under these Terms without restriction.
